Terms of Service

1. Acceptance of Terms
By accessing or using the GLP Pro software application (the "Software" or "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Software. These Terms constitute a legally binding agreement between you (the "User," "you," or "your") and GLP Pro ("Company," "we," "us," or "our").
2. Definitions
"Software" means the GLP Pro web-based application, including all features, tools, and services provided. "User" means any individual or business entity that creates an account and uses the Software. "Business" means your company, organization, or sole proprietorship that uses the Software to manage operations. "Customer" means your clients or customers to whom you provide goods or services. "Content" means all data, information, documents, invoices, estimates, and other materials you create, upload, or store in the Software.
3. License Grant
Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to access and use the Software for your internal business purposes. You may not: reverse engineer, decompile, or disassemble the Software; rent, lease, sublicense, or sell access; use the Software for illegal purposes; remove or modify any proprietary notices; or use the Software to compete with us.
4. User Accounts
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately of any unauthorized access. We may suspend or terminate your account if you violate these Terms or engage in fraudulent activity.
5. Fees and Payment
You agree to pay all applicable subscription fees as described in your selected plan. Fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. If payment is not received when due, we may suspend your access. We reserve the right to modify our pricing with 30 days' notice.
6. Your Content
You retain all ownership rights to your Content. We do not claim ownership of any data you input into the Software. You grant us a limited license to host, store, and process your Content solely to provide the Software services to you. You are solely responsible for the accuracy, legality, and appropriateness of your Content. While we perform regular backups, you are responsible for maintaining your own backup copies of important data.
7. Privacy and Data Protection
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. You can review the full Privacy Policy alongside these Terms. By accepting these Terms, you also acknowledge that you have read and understand our Privacy Policy. We implement reasonable security measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security.
8. Intellectual Property
The Software, including all code, designs, logos, and trademarks, is owned by us and protected by intellectual property laws. If you provide feedback or suggestions about the Software, we may use them without obligation to you.
9. Tax Calculations
The Software provides tools to calculate taxes (GST/HST, QST, PST) based on the rates you configure. While we strive to keep tax rates current, YOU are solely responsible for ensuring that tax calculations are accurate and comply with applicable tax laws. You must configure correct tax rates, register for tax collection where required, file tax returns, and maintain accurate tax records. The Software does not provide tax advice.
10. Invoice Generation
The Software provides tools to create, customize, and send invoices to your customers. You are responsible for ensuring that your invoices contain all legally required information for your jurisdiction. Invoice requirements vary by province, industry, and transaction type. The Software provides guidance but does not guarantee compliance.
11. Payment Processing
If you use payment processing features (e.g., Stripe), you agree to the terms of those third-party services. Payment processing fees charged by third parties are your responsibility. You are responsible for handling customer payment disputes, chargebacks, and refunds in accordance with applicable laws.
12. Legal Compliance Responsibility
YOU ARE SOLELY RESPONSIBLE for ensuring your business operations comply with all applicable laws and regulations, including Consumer Protection Laws, Tax Laws, Invoice Requirements, Language Laws (e.g., Bill 96), Industry Regulations, Privacy Laws (e.g., PIPEDA, Quebec Law 25), and Labor and Employment Laws. The Software provides compliance tools and warnings as a convenience only and does not constitute legal, tax, or accounting advice. You should consult with qualified professionals regarding your specific compliance obligations.
13. Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. We disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy of data, and uninterrupted operation. You use the Software at your own risk.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, our total liability to you for all claims arising from the Software shall not exceed the amount you paid us in the 12 months preceding the claim. We shall not be liable for indirect, incidental, special, consequential, or punitive damages, loss of profits, revenue, data, or business opportunities.
15. Indemnification
You agree to indemnify, defend, and hold harmless GLP Pro from any claims, damages, losses, liabilities, and expenses arising from your use of the Software, your violation of these Terms, your Content, or your violation of any law or third-party right.
16. Third-Party Services
The Software may integrate with or contain links to third-party services. We do not control and are not responsible for third-party services, their content, or their privacy practices. Third-party integrations are provided for convenience only. Use of third-party services is at your own risk and subject to their terms.
17. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable notice. We are not liable for service interruptions caused by circumstances beyond our control.
18. Termination
You may cancel your account at any time. We may terminate or suspend your access immediately for Terms violations, non-payment, fraudulent activity, or legal obligations. Upon termination, your right to use the Software ceases. We may retain your data for a reasonable period for legal and operational purposes.
19. Dispute Resolution
These Terms are governed by the laws of the Province of Quebec. You agree to submit to the exclusive jurisdiction of the courts of Quebec. Before initiating legal proceedings, you agree to attempt to resolve disputes through good-faith negotiation for at least 30 days.
20. Force Majeure
We shall not be liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, acts of government, pandemics, Internet disruptions, or power outages.
21. Modifications to Terms
We may modify these Terms at any time. Material changes will be communicated through email, in-app notification, or posting on our website with at least 30 days' notice. Continued use of the Software after the notice period constitutes acceptance of the modified Terms.
22. General Provisions
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect. Our failure to enforce any provision does not constitute a waiver. These Terms constitute the entire agreement between you and GLP Pro regarding the Software. You may not assign or transfer your rights under these Terms without our consent.
